Terms of service

1. Scope​

These Terms of Service ("Terms") govern your use of the Windmill-hosted platforms operated by Windmill Labs, Inc. ("Company", "we", "our", "us"), including https://windmill.dev, https://hub.windmill.dev, https://app.windmill.dev, and any other subdomain. They apply to all Windmill-hosted plans, including the Team plan and any other Cloud offering.

For Self-hosted plans, including Self-hosted Enterprise, see the Windmill self-hosted license terms instead.

Our Privacy Policy also governs your use of the Service and explains how we collect, store, and disclose information.

Your agreement with us includes these Terms and our Privacy Policy ("Agreements"). By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by them. If you do not agree, you may not use the Service. For questions, contact [email protected].

2. Communications​

By creating an account, you agree to receive product, service, and account-related communications from us. You may opt out of marketing communications at any time via the unsubscribe link or by contacting [email protected].

3. Purchases​

If you purchase any product or service through the Service ("Purchase"), you may be asked to provide information including your payment method, billing address, and other relevant details. You represent that (i) you have the legal right to use the payment method, and (ii) the information you provide is accurate and complete.

We may use third-party services to process payments. By submitting your information, you authorize us to share it with these providers subject to our Privacy Policy.

We reserve the right to refuse or cancel any order for reasons including but not limited to product availability, pricing or description errors, or suspected fraud or unauthorized use.

4. Subscriptions​

Some parts of the Service are billed on a subscription basis ("Subscriptions"). Subscriptions are billed in advance on a recurring basis ("Billing Cycle"), either monthly or annually depending on the plan you select.

At the end of each Billing Cycle, your Subscription automatically renews under the same conditions unless you or Windmill Labs, Inc. cancels it. You may cancel renewal through your account settings or by contacting [email protected].

A valid payment method is required. You agree to provide accurate billing information and authorize Windmill Labs, Inc. to charge the applicable fees to your payment method. If automatic billing fails, we will issue an invoice that must be paid by the date indicated.

5. Fee changes​

Windmill Labs, Inc. may modify Subscription fees at any time. Fee changes take effect at the end of the then-current Billing Cycle, and we will provide reasonable prior notice so you have the opportunity to cancel before the change becomes effective. Continued use of the Service after a fee change takes effect constitutes your agreement to the new fees.

6. Refunds​

We can issue refunds for Contracts within two (2) days of the original purchase of the Contract. Refunds are not available for any consumed resources, including but not limited to executions, compute, storage, seats already used, or any other usage already incurred. Any refund decision for unused, prepaid amounts is at our sole discretion.

7. Content​

The Service allows you to post, store, and share information, text, code, graphics, or other material ("Content"). You are responsible for the Content you submit, including its legality, accuracy, and appropriateness.

By submitting Content, you represent that (i) it is yours or you have the right to use it, and (ii) it does not violate the rights of any third party. We reserve the right to terminate the account of anyone found to be infringing on a copyright.

You retain your rights to any Content you submit. By posting Content through the Service, you grant us the rights necessary to operate the Service, including the right to store, reproduce, display, and distribute your Content as needed to provide the Service to you and other authorized users.

Windmill Labs, Inc. has the right, but not the obligation, to monitor Content submitted through the Service.

8. Prohibited uses​

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  1. In any way that violates any applicable law or regulation.
  2. To exploit, harm, or attempt to exploit or harm minors.
  3. To send unsolicited or unauthorized advertising, promotional material, or spam.
  4. To impersonate Windmill Labs, Inc., its employees, another user, or any other person or entity.
  5. In any way that infringes the rights of others or is illegal, fraudulent, or harmful.
  6. To engage in conduct that restricts or inhibits anyone's use of the Service.

You also agree not to:

  1. Use the Service in a way that could disable, overburden, damage, or impair it.
  2. Use any robot, spider, or automated process to access the Service except as expressly permitted.
  3. Use any device, software, or routine that interferes with the proper working of the Service.
  4. Introduce viruses, trojan horses, worms, or other malicious code.
  5. Attempt to gain unauthorized access to the Service, its servers, or any related systems.
  6. Attack the Service via denial-of-service or any similar attack.
  7. Take any action that may damage or falsify our ratings or reputation.

9. No use by minors​

The Service is intended only for individuals at least 18 years old. By using the Service, you represent that you are at least 18 and have the authority to enter into this agreement.

10. Accounts​

When creating an account, you confirm that you are at least 18 and that the information you provide is accurate, complete, and current. Inaccurate or outdated information may result in the immediate termination of your account.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use or security breach.

You may not use a username that belongs to another person, infringes any trademark, or is offensive. We reserve the right to refuse service, terminate accounts, or remove Content at our sole discretion.

11. Intellectual property​

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Windmill Labs, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used without our prior written consent.

12. Error reporting and feedback​

You may provide feedback, suggestions, or bug reports to [email protected] ("Feedback"). You acknowledge that (i) you will not retain any intellectual property right in the Feedback, (ii) we may have similar ideas independently, (iii) Feedback is not confidential, and (iv) we are under no confidentiality obligation regarding the Feedback. You grant us a perpetual, irrevocable, royalty-free license to use the Feedback for any purpose.

The Service may contain links to third-party websites or services not owned or controlled by Windmill Labs, Inc. We are not responsible for the content, policies, or practices of third-party sites and do not warrant their offerings. We strongly advise you to read the terms and privacy policies of any third-party site you visit.

14. Disclaimer of warranty​

The Service is provided "as is" and "as available", without warranties of any kind, either express or implied. We make no representations or warranties regarding the completeness, security, reliability, quality, accuracy, or availability of the Service. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that it will meet your needs or expectations.

We disclaim all warranties, including any implied warranties of merchantability, non-infringement, and fitness for a particular purpose. This does not affect any warranties that cannot be excluded or limited under applicable law.

15. Limitation of liability​

Except as prohibited by law, you will hold Windmill Labs, Inc. and its officers, directors, employees, and agents harmless for any indirect, punitive, special, incidental, or consequential damages arising out of or in connection with this agreement or your use of the Service, regardless of the legal theory. If we are found liable, our liability will be limited to the amount you paid for the Service. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitation may not apply to you.

16. Termination​

We may terminate or suspend your account and access to the Service at any time, without prior notice or liability, for any reason including breach of these Terms.

If you wish to terminate your account, you may discontinue using the Service. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

17. Governing law​

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Our failure to enforce any right or provision will not be considered a waiver. If any provision is held to be invalid or unenforceable, the remaining provisions will remain in effect. These Terms constitute the entire agreement between us regarding the Service and supersede any prior agreements.

18. Changes to the Service​

We reserve the right to withdraw or modify the Service at any time without notice. We will not be liable if any part of the Service is unavailable at any time or for any period.

19. Amendments to Terms​

We may amend these Terms at any time by posting the updated version on this page. Continued use of the Service after revised Terms take effect constitutes acceptance of the changes. If you do not agree, you are no longer authorized to use the Service.

20. Waiver and severability​

No waiver of any term by Windmill Labs, Inc. will be deemed a continuing waiver of that term or any other term. If any provision of these Terms is held invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

21. Acknowledgement​

By using the Service, you acknowledge that you have read these Terms of Service and agree to be bound by them.

Windmill Cloud Team plan​

The Cloud Team plan is subject to a separate Data Processing Addendum (DPA), which details how personal data is processed, stored, and protected. By using the Cloud Team plan, you agree to the DPA, which forms an integral part of the agreement between you and Windmill.
